1. Agreement to Terms

By accessing or using the services provided by Dental Authority Sites ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and clients of our website and services.

2. Service Description

Dental Authority Sites provides website design, development, search engine optimization (SEO), answer engine optimization (AEO), search advertising management, brand identity, reporting, and related digital marketing services exclusively for dental practices. Our services are delivered as described in the specific package or proposal agreed upon between you and our company.

3. Use of This Website

You may browse this website, review our packages, submit inquiries, and download or print materials for your own internal, non-commercial evaluation. You agree not to use this website to transmit unlawful, harassing, defamatory, or misleading content; to attempt to gain unauthorized access to any portion of the site, our servers, or our client environments; to probe, scan, or test the vulnerability of our systems; to scrape, harvest, or systematically extract content or contact information; to introduce malware or any code intended to disrupt the site; or to impersonate another person or misrepresent your affiliation with a practice or organization.

We may suspend or block access to the website for any user who violates these restrictions. Certain areas of this website, including the client portal and the content management system, are restricted to authorized users. You are responsible for maintaining the confidentiality of any credentials issued to you and for all activity that occurs under your account.

4. Payment Terms

Payment for website builds is due upon project initiation unless otherwise specified in your proposal. Monthly care plans and marketing services are billed on a recurring monthly basis. All prices are in US dollars. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with payments overdue by more than 30 days.

5. Refund Policy

Website build fees are non-refundable once the design phase has commenced. Monthly service subscriptions may be cancelled with 30 days written notice. No refunds will be issued for partial months of service. If we fail to deliver the agreed-upon scope of work, you may be eligible for a pro-rated refund at our discretion. Refund requests must be submitted in writing to [email protected].

6. Client Responsibilities

You agree to provide accurate and complete information necessary for us to perform our services. You are responsible for providing content, images, logos, and approvals in a timely manner. Delays caused by failure to provide required materials may extend project timelines without liability to us.

7. Intellectual Property

Upon full payment, you own the final website files, custom design assets, and content created specifically for your project. We retain ownership of our proprietary tools, frameworks, templates, and processes used in delivering services. We reserve the right to showcase completed work in our portfolio and case studies unless you request otherwise in writing. Third-party assets (fonts, stock images, plugins) remain subject to their respective licenses.

8. Limitation of Liability

To the maximum extent permitted by law, Dental Authority Sites shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services. Our total liability for any claim arising from these terms or our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific results from our SEO, AEO, or advertising services. Search engine rankings, patient lead volumes, and advertising performance are influenced by factors beyond our control. Additional important limitations are described in our Disclaimer, which forms part of these terms.

10. Termination

Either party may terminate ongoing services with 30 days written notice. We reserve the right to terminate services immediately if you breach these terms, fail to make payment, or engage in conduct that is harmful to our business or reputation. Upon termination, you will receive all completed work product for which payment has been received.

11. Indemnification

You agree to indemnify and hold harmless Dental Authority Sites, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your breach of these terms, or your violation of any third-party rights.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Hampshire, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the state or federal courts located in New Hampshire, and you consent to the personal jurisdiction of those courts.

13. Dispute Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally. You agree to notify us in writing at [email protected] describing the dispute and the relief sought, and we agree to do the same. Both parties will then negotiate in good faith for at least thirty days from the date the notice is received.

If the dispute is not resolved through good-faith negotiation, either party may pursue the matter in the courts identified in the Governing Law section above. Each party agrees that any claim must be brought within one year after the cause of action arises, and that claims will be brought on an individual basis rather than as a plaintiff or class member in any purported class or representative proceeding. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information, or from bringing a qualifying claim in small claims court.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these terms by reference. California residents should also review our Do Not Sell My Personal Information page.

15. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or by posting a notice on our website. Your continued use of our services after changes are posted constitutes acceptance of the revised terms.

16. Severability and Entire Agreement

If any provision of these terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. These terms, together with any signed proposal or service agreement, the Privacy Policy, and the Disclaimer, constitute the entire agreement between you and Dental Authority Sites regarding our website and services, and supersede any prior understandings on the same subject. Where a signed service agreement conflicts with these terms, the signed agreement controls for that engagement.
